Biography

Donald Lee is a Shareholder in the firm’s Corporate Practice Group in Los Angeles. Mr. Lee focuses his practice on venture capital and private equity financing transactions, mergers and acquisitions, representation as outside counsel of early stage and middle market companies, and corporate and securities law, including the formation, structuring and capitalization of business entities. Mr. Lee has represented venture capital, private equity and hedge fund clients in numerous equity and debt investment transactions as well as companies receiving such financing. He also represents clients who are buying and selling businesses, including private equity and other financial buyers in acquisition transactions. Mr. Lee advises emerging growth and middle market companies in a variety of industries, including internet ecommerce, consumer products, gaming, financial services and manufacturing and distribution.

Representative transactions include:

numerous early and late stage preferred stock financing transactions on behalf of venture capital funds;

the issuance and sale of preferred and common stock by emerging growth companies to venture capital and strategic investors

the acquisition of an auto body repair shop business by a private equity firm;

the acquisition of an aircraft parts manufacturer by a hedge fund;

the recapitalization of a furniture manufacturer on behalf of a private equity sponsor; and

various other non-financing transactions and agreements for company clients, including licensing agreements, distribution and supply agreements and manufacturing agreements.

Mr. Lee earned his B.A. with honors in Political Science at Stanford University in 1988 and his J.D. in 1994 at the University of Kansas School of Law, where he was Editor-in-Chief of the Kansas Journal of Law & Public Policy. Prior to attending law school, Mr. Lee served on the legislative staff of U.S. Senator Bob Dole in Washington, D.C. (1988-91).
