Negotiating contracts from owner, contractor, and subcontractor perspectives can be a challenging endeavor as all parties have different goals and risk tolerance. As an attorney facilitating negotiations, it is important to understand all perspectives to best meet the two main goals of contract negotiations: minimizing your client’s risk and getting the deal done. Often these two goals are at odds and it is essential to know where and how to compromise to ensure the deal is solidified and that your client is accepting only reasonable and manageable risk.

In this article, we provide strategies, considerations, and best practices for attorneys who are negotiating construction agreements for design-bid-build (DBB) projects on behalf of owners, general contractors, and subcontractors, with a focus on often-negotiated areas of the contract.
