Overview

Christopher Rogers advises businesses, sponsors, investors, and entrepreneurs on mergers and acquisitions, capital raising transactions, investment fund formations, and other strategic business transactions.

As a Partner in Buchalter’s Corporate Practice Group, Christopher represents clients in acquisitions and dispositions, private securities offerings, investment fund formations, joint ventures, recapitalizations, and cross-border transactions. He also advises founders, boards of directors, management teams, and investors on governance, financing, and strategic growth matters.

Christopher is President Emeritus of the Arizona Chapter of the Association for Corporate Growth (ACG), one of the nation’s leading organizations focused on middle-market mergers and acquisitions. He is a past Chair of both the Securities Regulation and Business Law Sections of the State Bar of Arizona.

Before entering private practice, Christopher served as a Legislative Assistant in the U.S. House of Representatives, advising a member of the House International Relations Committee on trade, defense, and business matters. He later worked at CNN in Washington, D.C., where he contributed to the production of Crossfire, the nationally recognized political debate program.

Christopher’s representative transactions include domestic and cross-border mergers and acquisitions, capital formation transactions, investment fund formations, and strategic investments across a broad range of industries.

Represented Jason Mitchell Group in its sale to Keller Williams.
Buy-side counsel to Mitsui Matsushima Holdings Co., Ltd., in the acquisition of an industry-leading U.S.-based manufacturer of industrial measuring devices through its subsidiary Sansei Denshi Co., Ltd.
Buy-side counsel to a private equity-backed acquiror in the acquisition of an industrial equipment company in a transaction valued at approximately $100 million.
Represented the sponsor in the formation and capitalization of a $500 million-plus net lease investment platform through the roll-up of approximately 90 commercial assets.
Sell-side counsel to Thompson/McCarthy Coffee Co. in the sale of 31 Dutch Bros. franchise locations to Dutch Bros.
U.S. counsel in the sale of SodiusWillert SAS to Initiative & Finance, a cross-border transaction involving operations, subsidiaries, and stakeholders across the United States, France, and Germany.
Sell-side counsel to Radix Law in its strategic acquisition by private equity-backed Aprio to form Aprio Legal LLC, a transaction recognized by the Atlanta Business Chronicle as a “Deal of the Year.”
Sell-side counsel to SIM Partners, an investment adviser with approximately $2.4 billion in assets under management, in its sale to Focus Financial Partners.
Sell-side counsel to SMART Recycling in its sale to a subsidiary of Denali Corp.
Sponsor counsel in structuring, formation, and compliance for dozens of qualified opportunity zone funds (QOFs).
Buy-side counsel in the acquisition and consolidation of Freedom Plaza, a senior living campus, including related real estate and financing transactions.
Issuer’s counsel to Yerbaé Brands Corp. in its go-public transaction on the TSX Venture Exchange.
Investor’s counsel to member of investor group in the take-private acquisition of Soho House.
