William Hughes is an Attorney in the Firm’s Dallas office and a member of the Real Estate practice group.

Mr. Hughes advises owners, developers, contractors, and lenders in a broad range of commercial transactional matters, with particular focus on construction and commercial real estate. His practice includes drafting and negotiating commercial contracts of all kinds — including construction contracts, master services agreements, subcontracts, leases, purchase and sale agreements, and financing documents; counseling clients on entity formation, governance, and multi-state licensing; representing parties in mechanic’s lien perfection, enforcement, and defense; and advising on acquisitions, dispositions, and distressed real estate transactions. He also counsels clients on corporate and regulatory matters across a range of industries, including construction, real estate, energy, and financial services.

Drawing on prior in-house experience with a Texas-based oil and gas operator and as Associate General Counsel to a consumer finance company, Mr. Hughes brings a practical understanding of how operating businesses balance commercial priorities against contractual, corporate, and regulatory obligations. He is particularly focused on aligning transactional strategy with clients’ broader business objectives, including managing counterparty relationships, controlling execution risk, and preserving project economics. A native of Fort Worth, Mr. Hughes graduated from Duke University before returning to Texas to earn his Juris Doctor from SMU Dedman School of Law.

  • Represented general contractor in negotiation of master services agreement and multiple service authorizations with luxury residential development client for a Texas golf and ranch community. Structured statutory bonds to indemnify against lien claims on multiple utility-scale solar and battery energy storage projects across Texas.
  • Negotiated multi-state HVAC subcontract on behalf of national mechanical contractor for food and beverage manufacturer’s plant expansion.
  • Represented demolition subcontractor in Texas mechanic’s and materialman’s lien enforcement on a Dallas mixed-use development, including issues arising from a foreclosed-out owner and competing third-party claims.
  • Represented general contractor in response to second-tier subcontractor lien claims and factoring assignments involving municipal water utility and recreation center projects.
  • Represented joint venture seller in disposition of Texas retail center following prior condemnation.
  • Advised investor on acquisition diligence and loan-to-own strategy for a stalled multifamily development.
  • Advised architectural practice on multi-state restructuring.
