Lance Lehnhof guides founders, owners and executives in mergers, acquisitions, equity and debt financings, and other sophisticated strategic transactions. In addition to being a deal lawyer for more than 20 years, he often serves as outside general counsel for C-suite decision makers. Lance’s trusted legal business judgment reflects his busy national, middle-market deal portfolio. His in-depth sell-side experience includes representing many first-time sellers through the complex process.
Clients easily connect with Lance’s entrepreneurial mindset, pragmatic advice, and results-oriented approach, which he gained running his own small businesses while in college. When steering clients through transactions, Lance distills the information owners and founders require to make their own best decisions. His counsel reflects a diverse and well-rounded background, which includes serving as general counsel for several companies and as a founder of a boutique corporate firm.
Lance ensures his clients understand every stage of the deal and the risks and opportunities reflected in the deal structure and documents so that they can be tailored to individual clients’ goals, needs and concerns.
Clients also rely on his M&A market knowledge, custom counsel and candor. On more than one occasion has Lance talked clients out of deals that were not in their interest.
Lance is deal counsel in mergers, acquisitions, strategic partnerships, and other ventures of all sizes. His pragmatic and efficient approach has been effective on deals worth $500mm+ but also those under $1 million, with most in the $30-250mm range. His range of industry experience includes technology, health care, alternative and traditional energy, hospitality, real estate, and manufacturing. As capital markets shift, Lance draws from his experience in investment banking when advising lower middle-market companies on risk and deal concerns.
Among Lance’s civic contributions is a multiyear appointment by Utah Governor Gary Herbert to the State Workforce Development Board, where Lance served as a board member. Lance is a graduate of J. Reuben Clark Law School at Brigham Young University and has served as an adjunct faculty member and alumni board member at his alma mater.
Most recently, Lance is recognized by Chambers USA as a leader in the field of Corporate/M&A.
