Jason Chao is an Attorney in the Firm’s Orange County office and a member of the firm’s Greater China Practice Group. 

Admitted in California, New York and Taiwan, Jason advises emerging growth companies, venture capital investors, and public and private companies on a broad range of corporate and transactional matters. His practice includes venture capital financings, mergers and acquisitions, corporate governance, securities law compliance, and general corporate counseling throughout all stages of a company’s growth cycle.

Prior to joining Buchalter, Mr. Chao practiced at one of Taiwan’s largest law firms, where he represented public and private companies, financial institutions, and investors in a broad range of complex corporate transactions. He also served as the first in-house counsel of one of Taiwan’s largest pharmaceutical companies, advising senior management on corporate governance, strategic transactions, commercial contracting, regulatory compliance, intellectual property matters, and day-to-day business operations.

  • Herbalife in its negotiations for acquisition of the assets of Pruvit, a direct selling market leader of patented ketone supplements.
  • Herbalife in its negotiations for acquisition of the assets of Link BioSciences, an established manufacturing company utilizing proprietary technology to process biometrics, biomarkers, lifestyle data and DNA.
  • Brogent Technologies, Inc., a leading provider of motion-based simulation attractions, in its acquisition of the FlyOver immersive attraction business and related assets from Viad Corp.
  • Represented emerging growth companies and venture capital investors in seed, Series A, and later-stage equity financings.
  • Advising Nasdaq-listed foreign private issuers on SEC reporting and compliance matters, including the preparation and review of Forms 20-F, F-3, S-8, 6-K, Section 16 filings, and Rule 144 transactions.
  • Assisting public company insiders, directors, officers, and significant shareholders with Section 16 reporting compliance, Rule 10b5-1 trading plans, and related securities law matters.
