Jonathan B. Wilson is a Shareholder in the Firm’s Atlanta office and a member of the Corporate practice group. Mr. Wilson is a seasoned attorney with more than 34 years of experience guiding growing private and public companies. He has represented both start-ups and Fortune 100 companies in matters involving corporate finance and governance, securities, mergers and acquisitions, strategic alliances, product distribution, intellectual property, computer software, and litigation management.

Mr. Wilson was the founding Chair of the Internet Industry Committee of the American Bar Association (Public Utility Section), serving in that role for more than a decade, and later founded the Section’s Renewable Energy Committee as well. 

Mr. Wilson has been the general counsel or chief legal officer of two publicly-traded companies and has guided both public and private corporate boards through contentious matters, including proxy contests, non-arms-length transactions, and other controversies.  

Mr. Wilson is an often-cited authority on The Corporate Transparency Act, having authored The Corporate Transparency Act Compliance Guide (Matthew Bender, 2023), and more recently publishing FinCEN Reporting For Residential Real Estate (2025).

  • Represented an international consumer products company in its joint venture with an internationally recognized recording artist and celebrity.
  • Represented a multi-state hotel and resort owner and operator in its acquisition of an historical hotel property in Rome, Georgia.
  • Represented the founder of a multi-site car wash business in the acquisition and launch of more than a dozen car wash locations.
  • Represented the acquirer of a national optical products supply business
