Lexis “Lex” Gibson is Special Counsel in the Firm’s Atlanta office and a member of the Real Estate practice group. His practice is focused on commercial real estate development, investment and finance.

Mr. Gibson’s practice focuses on the representation of life companies, REIT’s, sponsors and developers in the acquisition, disposition, development and financing of multifamily projects, office buildings, industrial properties, health care facilities, and mixed-use assets.

Real Estate Acquisition, Disposition & Development

• Represented real estate investment management firm in the $130 million sale of an 11-property medical office building portfolio located across 7 jurisdictions.

• Represented a life company in the $123 million acquisition of retail shopping plaza in Georgia including negotiation of the purchase and sale agreement and joint venture agreement with operating partner.

• Represented a life company in the $37 million acquisition of property in downtown Charlotte, NC to be developed into multi-use 31-story tower, including the negotiation of the purchase and sale agreement, joint venture agreement with operating partner, air rights negotiation for future hotel and declaration of restrictions.

• Represented a life company in the $18 million investment in joint venture for the acquisition and development of property in Holly Springs, North Carolina to be developed into life sciences complex, including negotiation of purchase and sale agreements, joint venture agreement with operating partner, development agreement, leasing agreement, subdivision and negotiation of construction financing.

• Represented a life company in the $300 million acquisition of 12-property medical office portfolio across 5 states.

• Represented a life company in the $24.5 million sale of a big box retailer store that had been subdivided from larger retail shopping plaza in metropolitan Atlanta, Georgia.

• Represented a life company in the $29 million sale of retail shopping plaza in Warwick, Rhode Island.

• Represented a real estate investment firm in the $57.5 million purchase of a 250-unit Class A multifamily complex in Davenport, Florida, including negotiating purchase and sale agreement, negotiation joint venture agreement with institutional preferred equity investor, negotiation of senior lending for acquisition financing, and the preparation of a private placement memorandum for Regulation D offering in connection with capital raise for the asset purchase.

Real Estate Finance and Capital Markets

• Represented a life company in $111 million, multi-borrower loan transaction secured by industrial real estate properties across three states.

• Represented a life company in $106 million, multi-borrower loan transaction secured by a 45-property commercial real estate portfolio across 11 jurisdictions.

• Represented the administrative agent in $67 million syndicated construction loan to finance the construction of an industrial facility.

• Represented the administrative agent in the origination and closing of a $28 million, syndicated construction loan to finance the construction of a mixed-use project.

• Representation of a life company lender in the split of a $58 million loan secured by mixed-use condominiums located in New York City, New York in connection with the borrower’s sale of a portion of one of the major units securing the loan.

• Representation of institutional partner in $150 million recapitalization of a 5-property portfolio of retail plazas in Florida anchored by a national grocer, including the negotiation of a Membership Interest Purchase and Sale Agreement, joint venture agreement, and assumption of existing senior debt on the properties.
