Rachel Fong is an attorney at Buchalter’s Orange County office and a member of the Corporate practice group. Ms. Fong represents clients from a wide range of industries, including healthcare facilities, technology companies, and retail business owners. She advises companies at every stage of their corporate life cycles, with a focus on corporate governance, mergers and acquisitions, and private equity investment.

  • Represented Taos Footwear, a leading innovative footwear brand, in its investment by Prospect Capital
  • Represented one of the last remaining textile manufacturers left in California in its sale to a large publicly traded Korean holding company.
  • Represented the largest selling shareholders in the sale of a UK-based supplier of computer numerical control machines to its management team.
  • Represented a distributor of underground water products in its sale to a publicly traded multinational plumbing and heating products distributor.
  • TestOut Corporation, a SaaS company specializing in online IT training courseware and certification exams, in its sale to CompTIA.
  • FluidFi Inc. d/b/a Alchemy Technologies, an embedded financing software company, in
    its sale to Business Warrior Corporation through a reverse triangular merger.
  • Healthcare Management Services, LLC, an assisted living facility, an office building, and the business of eight related operating entities, in its sale of seven skilled nursing facilities to the affiliates of International Equity Partners, Inc.
  • Forward Healthcare, a leading provider of healthcare equipment and services in the
    sleep/sleep-apnea management industry, in its recapitalization and capital investment by Cimarron Healthcare Capital, a private equity fund focused on lower-middle market healthcare investments.
  • Represented a private off-road vehicle company in its reverse merger with a publicly traded company, and its acquisition with an Israel company.
  • Represented a cannabis dispensary entity in its acquisition with a private equity group.
  • Represented a data security company in its merger with a CSE- listed public company.

  • Representation of issuers, investors and lenders in private equity and debt financing transactions.
