      Michael Flynn will speak on the topic of “Regulation Z: HOEPA and Higher-Priced Mortgage Loans (HPML) Requirements and Regulations” at Lorman Seminar on May 18, 2022

      Understand the various requirements for loans that meet the HPML definition.
      The Regulation Z Higher-Priced Mortgage Loan (HPML) rule imposes numerous detailed, specific, and often operationally-burdensome requirements on defined higher-priced mortgage loans. These requirements require significant operational and compliance oversight and can invoke secondary market investors and other requirements. While the HPML rule has been in place for several years, the myriad details and impacts of this rule warrant complete refresher updates for all persons who deal with the issue, as well as thorough training for new employees. This course will help those working in underwriting and loan origination activities, and all those responsible for adherence to and oversight of HPML requirements, to understand the definition of HPML and what loans meet the definition; as well as the various requirements for loans that meet the HPML definition, such as when escrow accounts must be utilized, and the appraisal requirements specific to HPMLs. The course will also help you understand what regulators and agencies can enforce the HPML rule and possible penalties for violations. Finally, you will learn about some of the interplays between the HPML rule and investor requirements and how the HPML rule overlays and interacts with the qualified mortgage rule and the high-cost mortgage rule.

      Larry Steinberg will discuss “Tightening the Screws—Cataloging the New FTC Threats,” at the 2022 Direct Selling Legal & Compliance Summit, to be held February 17, 2022 in Austin, Texas.

      In the wake of the Supreme Court’s unanimous Section 13(b) decision, the FTC has gone into penalty-seeking overdrive, looking for any tools that it can use to assert its power. Along with a desperate appeal to congress to codify 13(b), it is resurrecting the FTC Act’s Penalty Offense Authority, which would allow them to assess egregious penalties without due process. They are also pushing for a reversal to the direct selling exemption from the Business Opportunity Rule, which could be devastating to recruiting and enrollment. They are even changing how they create rules so they can make even more stringent ones.

      In this informative session, our panel of experts explores the many ways the FTC is planning to challenge the channel, and how companies can prepare for what is certain to be a new era of screw-tightening.

      This panel will discuss recent developments in mass tort bankruptcy cases, including the Purdue Pharma case and the Texas Two-Step (divisive merger), as well as its viability given recent rulings, including in In re DBMP LLC and In re Aldrich Pump, which suggest that divisive mergers may be subject to challenge as fraudulent transfers or under alter-ego, successor-liability and similar doctrines. Developments in third-party releases and legislation aimed at prohibiting third-party releases and limiting forum-shopping will also be discussed.

      Non-consensual third-party releases – releases of liability that might be afforded to non-debtor persons with ties to a chapter 11 debtor’s estate – have long been the subject of important Circuit Court decisions. Undoubtedly, the availability of third-party releases has been venue-determinative for many large corporate chapter 11 cases that have confirmed plans centered on such relief. Most recently, mass-tort bankruptcy mega-cases have highlighted the significance of the availability, standards and opt-out mechanisms related to non-consensual third-party releases with political discourse on the topic now reaching a “fever pitch.” In the shadow of the Purdue Pharma bankruptcy case and hastily-drafted legislation pending before Congress, which could strictly limit Federal Court powers in this area, the panel will explore the status quo and discuss whether there are standards under which it would be beneficial for the Bankruptcy Code to expressly allow third-party releases in the context of a chapter 11 plan.

      Michael Flynn, Of Counsel at Buchalter, will speak on the Paycheck Protection Program changes –  The Economic Aid to Hard-Hit Small Businesses, Nonprofits, and Venues Act (Act), signed by the President on December 27, 2020, and subsequent guidance from Treasury and the Small Business Administration have modified the PPP in two significant ways.  The Act and the new guidance created a new Second Draw Loan category, enabling eligible businesses that had previously gotten a PPP loan to apply for a supplemental PPP loan in amounts that could be as high as $2 million; they clarified that certain eligible borrowers who have not previously obtained a PPP loan may seek to obtain such a loan before March 31, 2021; and they clarified the requirements for eligibility and forgiveness of both types of loans.

      Melissa Richards, Of Counsel at Buchalter, will discuss understanding the proposed rule provisions coming out of the California Department of Financial Protection and Innovation (fka Department of Business Oversight) that would impose new early disclosure requirements on covered commercial lenders that are CFL licensed or subject to CFL licensing, how your company can be ready for the final California commercial loan disclosure rules, transitioning of all CFL licensees and new applications onto the Nationwide Mortgage Licensing System online platform, and new license requirements for consumer debt collectors under SB908 starting January 1, 2022.

In light of the COVID-19 pandemic, the bankruptcy landscape is changing and evolving differently. Our panelists will discuss the impact of COVID-19 on bankruptcy proceedings, changes to bankruptcy law, and the evolving judicial response in bankruptcy courts to foreclosures, force majeure clauses and other contractual defenses, as well as special/single purpose entities, non-recourse loans and carve out guarantees, intercreditor agreements, and pre-workout or pre-negotiation letters.       New technologies have created a surge in the collection, use and volume of data. Artificial Intelligence (AI) enables the processing of enormous quantities of information, allowing it to identify data patterns and make decisions on a scale and pace beyond what humans can do. Internet-connected devices (referred to as the Internet of Things or IoT) collect data about their environment constantly, including where people are and what they are doing. Autonomous Vehicles (AV) use data sets and algorithms to able to travel with less and less human intervention over time. Facial recognition software makes it easier to identify people quickly and automatically.

      There are tremendous societal, business and individual benefits to these technologies. But there are also risks and questions.

      What are the ethics associated with these technologies? What happens when inputs and algorithms lead AI to create and reinforce data bias? What are the privacy and security concerns associated with IoT and facial recognition? What are the ethical issues associated with AVs that must “decide” how to respond in an emergency? Are data ethics uniform across technologies or are they specific to each one?

      What duties do the creators of these technologies owe to the people whose data is collected and used, if any? Will the US answer these questions in the same way as the rest of the world? How is the law shifting to address these concerns?

And, of course, the consequences of a slight miscue can be devastating to your client (and perhaps to your career). This session will explore the impact of Section 108 on non-bankruptcy-related time limitations affecting the rights of various parties in a bankruptcy case, including (i) the extension for the debtor or trustee of the period to commence litigation or take certain actions (such as exercising rights of redemption), (ii) the applicability and operation of the statutes of limitations on avoidance actions, (iii) possible tolling of bankruptcy actions, and other deadlines, and (iv) the interaction of Section 108 with other sections of the Bankruptcy Code or with non-bankruptcy statutes.

      “Opportunity Zones” are census tracts designated by state governors in which qualifying investments receive substantial tax breaks. The tax breaks include the deferral of federal capital gains tax, the reduction of that tax and the elimination of subsequent capital gains tax on some or all of the appreciation on the investment. A creation of the Tax Cuts and Jobs Act of 2017, Opportunity Zones are intended to stimulate long term investment in low-income census tracts by rewarding investors with meaningful tax benefits.
