      The Agribusiness Committee of the California Lawyers Association’s Business Law Section will kick off its 2021 Agriculture Tour series with the California Farm Bureau’s Ag Issues Update Meeting, to be held virtually on Friday, February 26, 2021 from 10 a.m. to noon.

      The program is a unique opportunity for practitioners to hear the perspectives of Farm Bureau’s legal staff on recent judicial opinions, pending court cases, and key legislative and regulatory developments affecting agribusiness throughout California.       Michael Flynn, Of Counsel at Buchalter, will speak on the Paycheck Protection Program changes –  The Economic Aid to Hard-Hit Small Businesses, Nonprofits, and Venues Act (Act), signed by the President on December 27, 2020, and subsequent guidance from Treasury and the Small Business Administration have modified the PPP in two significant ways.  The Act and the new guidance created a new Second Draw Loan category, enabling eligible businesses that had previously gotten a PPP loan to apply for a supplemental PPP loan in amounts that could be as high as $2 million; they clarified that certain eligible borrowers who have not previously obtained a PPP loan may seek to obtain such a loan before March 31, 2021; and they clarified the requirements for eligibility and forgiveness of both types of loans.

      Melissa Richards, Of Counsel at Buchalter, will discuss understanding the proposed rule provisions coming out of the California Department of Financial Protection and Innovation (fka Department of Business Oversight) that would impose new early disclosure requirements on covered commercial lenders that are CFL licensed or subject to CFL licensing, how your company can be ready for the final California commercial loan disclosure rules, transitioning of all CFL licensees and new applications onto the Nationwide Mortgage Licensing System online platform, and new license requirements for consumer debt collectors under SB908 starting January 1, 2022.

In light of the COVID-19 pandemic, the bankruptcy landscape is changing and evolving differently. Our panelists will discuss the impact of COVID-19 on bankruptcy proceedings, changes to bankruptcy law, and the evolving judicial response in bankruptcy courts to foreclosures, force majeure clauses and other contractual defenses, as well as special/single purpose entities, non-recourse loans and carve out guarantees, intercreditor agreements, and pre-workout or pre-negotiation letters.       New technologies have created a surge in the collection, use and volume of data. Artificial Intelligence (AI) enables the processing of enormous quantities of information, allowing it to identify data patterns and make decisions on a scale and pace beyond what humans can do. Internet-connected devices (referred to as the Internet of Things or IoT) collect data about their environment constantly, including where people are and what they are doing. Autonomous Vehicles (AV) use data sets and algorithms to able to travel with less and less human intervention over time. Facial recognition software makes it easier to identify people quickly and automatically.

      There are tremendous societal, business and individual benefits to these technologies. But there are also risks and questions.

      What are the ethics associated with these technologies? What happens when inputs and algorithms lead AI to create and reinforce data bias? What are the privacy and security concerns associated with IoT and facial recognition? What are the ethical issues associated with AVs that must “decide” how to respond in an emergency? Are data ethics uniform across technologies or are they specific to each one?

      What duties do the creators of these technologies owe to the people whose data is collected and used, if any? Will the US answer these questions in the same way as the rest of the world? How is the law shifting to address these concerns?

      Jeannie Kim joins a panel to discuss the advantages and disadvantages of filing bankruptcy under chapter 15 vs. chapter 11 in the U.S. where the prospective debtor is a multinational company, and the potential  consequences of each type of filing across the capital structure of the company (e.g., secured creditors, unsecured creditors, equity, etc.).       California’s cannabis industry is quickly developing into the state’s largest industry. But the rapidly changing state of California law and the tension between federal and state law make it difficult for employers to maintain compliance with all regulations. Making matters more complicated is the FDA’s recent approval of the first CBD drug for epilepsy, which firmly establishes cannabis as having recognized medical value notwithstanding its current status as a Schedule 1 drug under the Controlled Substances Act.       Since the Herbalife and Vemma consent decrees with the Federal Trade Commission, the litigation focus in direct selling has shifted to private putative class actions filed against a large number of companies accused of operating illegal pyramid schemes, RICO (racketeering), false advertising, unfair business practices and the like.  One of these cases has been certified as a class action, while the others are all in their early procedural stages.  Many of these cases have been filed in Los Angeles, but others are pending in Miami, Houston, and elsewhere.

      Larry Steinberg of Buchalter will share his experiences with class action litigation and will address issues such as arbitration, choice of law, forum selection, class certification, policies and procedures, the current state of pyramid scheme law since FTC v.
